Description

Overview A well-established, growth-stage company in Japan (¥4B+ revenue scale) is seeking a Chief Financial Officer (CFO) to lead its financial strategy and IPO readiness as it prepares for a Tokyo Stock Exchange listing. With a strong operating foundation and clear expansion roadmap, the business is entering a critical phase where institutional-grade finance, governance, and capital strategy will be essential. This role will sit at the core of executive decision-making, partnering closely with senior leadership to drive both organic growth and strategic initiatives. Key Responsibilities IPO Preparation & Execution
  • Lead end-to-end IPO readiness for a Tokyo Stock Exchange listing
  • Manage relationships with external stakeholders including underwriters, auditors, and legal counsel
  • Oversee preparation of:
    • Financial statements (J-GAAP / IFRS)
    • Disclosure materials (有価証券報告書, 目論見書)
    • Internal control documentation (J-SOX)
  • Define IPO timeline, milestones, and execution governance
  • Lead due diligence and investor readiness processes
Financial Reporting & Governance
  • Establish and oversee institutional-grade financial reporting frameworks
  • Ensure compliance with J-GAAP / IFRS, J-SOX, and TSE requirements
  • Oversee monthly/quarterly closing, consolidation, and audits
  • Implement robust financial controls and governance structures
FP&A & Performance Management
  • Lead budgeting, forecasting, and long-term financial planning
  • Build KPI frameworks aligned to business units and group strategy
  • Provide financial insights to support executive decision-making
  • Drive financial discipline across the organization
Capital Strategy & Investor Support
  • Partner with executive leadership on capital allocation and growth strategy
  • Support investor communications, financial storytelling, and disclosures
  • Participate in investor meetings and roadshows as needed
Treasury & Cash Management
  • Oversee liquidity, capital structure, and funding strategy
  • Manage banking relationships and financing arrangements
  • Optimize working capital across the group
Tax & Compliance
  • Lead tax strategy, compliance, and optimization
  • Manage domestic and cross-border tax considerations
  • Ensure full regulatory and statutory compliance
Team Leadership
  • Build and lead a high-performing finance organization (Accounting, FP&A, Tax, Treasury)
  • Develop scalable systems, processes, and reporting infrastructure
  • Partner with HR on hiring and developing the finance team
Required Experience
  • Proven experience leading or playing a key role in an IPO (Japan / TSE strongly preferred)
  • Strong expertise in:
    • J-GAAP and/or IFRS
    • J-SOX compliance
    • Financial reporting and audit
  • Experience in multi-entity or group company environments
  • Prior experience as CFO, Head of Finance, or equivalent senior leadership role
Preferred Experience
  • Background in education, services, or multi-site business models
  • Experience with M&A, integration, and financial consolidation
  • Exposure to growth-stage or PE-backed environments
  • Experience engaging with institutional investors, analysts, and boards

Additional Notes
  • Candidates must have hands-on IPO execution experience (Japan strongly preferred)
